Introduction

These user terms and conditions (hereinafter referred to as the "User Terms") apply to any use of Apollo's website (hereinafter referred to as the "Website"), including - but not limited to - www.heyapollo.com


The Website is supplied by Save Solis, Inc., a Delaware corporation situated at 418 Broadway, Chico, CA 95928 (known as "Apollo"). In these User Terms, the words "we", "us" and "ours" refer to Apollo.


By using the Website, you accept to be subject to the User Terms and any other Guidelines provided. If you do not accept these User Terms, you are not permitted to use the Website and are kindly requested not to use the Website any further. The registration as a user requires your express acceptance of these User Terms.


Use of the Website

This Website allows you to search for and share information about technology products, services, and vendors, communicate with others, and/or create new content such as recommendations and reviews (both written and video).


To make sure that reviews are unbiased, current and real, we have developed Guidelines and use different mechanisms to verify that you are who you say you are. However, you decide what information you want to share with the public, since you have the option to post your reviews anonymously, or not post any review at all.


As a condition of your use of this Website, you warrant that (i) all information supplied by you on this Website is true, accurate, current, and complete, (ii) if you have a Apollo account (“Registered User”), you will safeguard your account information and will supervise and be completely responsible for any use of your account by anyone other than you, and (iii) you are 18 years of age or older.


Apollo does not knowingly collect the information of anyone under the age of 18. We retain the right at our sole discretion to deny access to anyone to this Website and the content we offer, at any time and for any reason, including, but not limited to, for violation of these Terms.


Please be advised that all reviews, including any endorsements, of third-party products, services, or vendors contained on this Website are the opinions of the reviewers of those products, services, or vendors and not those of Apollo.


As described in our Community Guidelines, Apollo may provide incentives (in the form of Bitcoin) to encourage visitors to this Website to submit reviews. Registered Users also send each other Bitcoin, as a reward for Reviews they find helpful. Any such incentives, however, are not dependent on whether the review is positive or negative.


Prohibited Activities


The content and information on this Website (including, but not limited to, messages, data, information, text, music, sound, photos, graphics, video, maps, icons, software, code, or other material), as well as the infrastructure used to provide such content and information, is proprietary to us, except as expressly provided in these Terms. You agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any such content or information obtained from or through this Website.


Additionally, you agree not to:


  • use this Site or its contents for any commercial purpose without our express written permission;

  • access, monitor, or copy any content or information of this Site using any robot, spider, scraper, or other automated means or any manual process for any purpose without our express written permission;

  • violate the restrictions in any robot exclusion headers on this Site or bypass or circumvent other measures employed to prevent or limit access to this Site;

  • take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;

  • deep-link to any portion of this Site for any purpose without our express written permission;

  • “frame”, “mirror”, or otherwise incorporate any part of this Site into any other website or mobile application without our prior written authorization; or

  • attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Apollo in connection with this Site or the content we provide.


Review Terms


This Website contains various forums through which you may post reviews of experiences using technologies and services or post or link other content, messages, materials, videos, or other items to this Website. You are solely responsible for your use of the Website, and expressly agree not to post, link, upload to, transmit, distribute, store, create, or otherwise publish through this Website any of the following:


  • Any message, data, information, text, music, sound, photos, graphics, screenshots, video, code, or any other material (“Content”) that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, or otherwise objectionable;

  • Content that would constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or otherwise create liability or violate any local, state, national, or international law, including, without limitation, the regulations of the U.S. Securities and Exchange Commission (SEC) or any rules of a securities exchange such as the New York Stock Exchange (NYSE), the American Stock Exchange, or the NASDAQ;

  • Content that may infringe or misappropriate any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party;

  • Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity, including Apollo;

  • Unsolicited promotions, political campaigning, advertising, contests, raffles, or solicitations;

  • Private information of any third party, including, without limitation, surname (family name), addresses, phone numbers, email addresses, Social Security numbers, financial information, and credit card numbers;

  • Viruses, corrupted data, or other harmful, disruptive, or destructive files;

  • Content that is unrelated to the topic of the Interactive Area(s) in which such Content is posted, linked, or otherwise published; or

  • Content or links to content that, in the sole judgment of Apollo, (i) violates the previous subsections herein, (ii) is objectionable, (iii) restricts or inhibits any other person from using or enjoying the Interactive Areas or this Site, or (iv) may expose Apollo or its affiliates or its or their users and/or sublicensees to any harm or liability of any type.

  • Any use of the Interactive Areas or other portions of this Site in violation of the foregoing violates these Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or this Site.


Without limiting the foregoing, Apollo takes no responsibility and assumes no liability for any content posted, stored, or uploaded by you or any third party, or for any loss or damage thereto, nor is Apollo liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, or profanity you may encounter. As a provider of interactive services, Apollo is not liable for any statements, representations, or content provided by its users in any public forum or other Interactive Area. Although Apollo has no obligation to screen, edit, or monitor any of the Content posted to or distributed through any Interactive Area, Apollo reserves the right, and has absolute discretion, to remove, screen, or edit, without notice, any Content posted or stored on this Site at any time and for any reason, and you are solely responsible for creating backup copies of and replacing any Content you post or store on this Site at your sole cost and expense.

By creating an account and using our website, you agree to receive occasional promotional emails and updates about your account. APOLLO EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE WEBSITE AND SERVICES MAY BE MODIFIED, UPDATED, INTERRUPTED, SUSPENDED OR DISCONTINUED AT ANY TIME WITHOUT NOTICE OR LIABILITY.


We make no representations or warranties with respect to any User Generated Content (“UGC”) published on the Website. Notwithstanding the foregoing, Apollo may at all times investigate and edit (including anonymizing) UGC, e.g. if such actions are (i) prompted by third party requests, (ii) required under applicable law or (iii) necessary for the UGC's compliance with our User Guidelines.


We disclaim all liability for the content of UGC. Our non-liability applies, without limitation, to any UGC, including UGC which has been edited by us. We are not liable for any links to third party websites in the UGC, including for the content of the page to which the UGC links.


Recommendations, reviews, comments, etc. of specific companies, services, e-businesses, etc. on the Website are provided by Registered Users and are not endorsements made by us. We disclaim all liability for the content of the Website. The use of our services is in any respect the sole responsibility of the Registered Users. We cannot be held liable for the availability of the Website.


What Apollo owns 

We own everything on our platform except content owned by others, like the reviews on our platform (see below). Our ownership includes all rights in the design, compilation, and look and feel of our platform, including any logos, graphics and trademarks. You agree not to copy, distribute, modify or otherwise use any of our platform content or our brand in any way not expressly permitted by us. This means you are not allowed to use our brand or any other content on our platform, including Apollo Scores and reviews submitted by other users, unless we specifically say you are authorized to use them.


What you own

You own, and are responsible for, any user generated content you submit to, or transmit through, our platform. You also promise that you have all the necessary permissions to create and/or use such user generated content. Unless your user generated content is removed by us for violating our Review Guidelines, or removed by you, your user generated content will remain publicly displayed on our platform and any third-party services and networks (like Google) indefinitely.


Apollo’s right to use your user generated content

By creating, submitting, posting or displaying user generated content on our platform, you grant us a license to use, modify, publish and display such user generated content anywhere in the world, in any way, without any restriction and without any payment to you. You also agree that this license allows us to make your user generated content available to other companies or individuals, including our customers, for any purpose such as the syndication, distribution, promotion or publication of such user generated content. You also grant us a right of action to bring an action for copyright infringement against anyone who uses your user generated content without first receiving permission from you and/or Apollo. This includes, where applicable, a right under section 101A of the Copyright, Designs and Patents Act 1988.

Terms of Use for Businesses

Introduction

Our review platform allows you to engage with consumers, collect feedback and gather insights - giving you the tools to drive better consumer experiences. Before using our services we ask that you read these terms of use businesses (which we will simply refer to as the “terms” going forward) so that you understand what we expect from you - and also what you can expect from us.


You’ll need to accept these terms so that it’s clear what your and our legal rights and obligations are. Your access and use of our services is, at all times, conditional on you agreeing to these terms. So, if at any time you do not agree, or cannot comply, with these terms, you must not access or use any of our services. Your use of our platform and/or services in any way will be governed by these terms.


You agree to these terms by claiming a business profile page or accessing or using any of our services.


What we each own

We own everything we’ve put into our services except content owned by others, like the reviews on our platform which are owned by the reviewers who created them and any data you provide us when sending invitations to your consumers. Our ownership includes rights in the design, compilation, and look and feel of our services. It also includes rights in all copyrighted works, registered and unregistered trademarks, designs, code, inventions, and other intellectual property. You agree not to copy, distribute, modify or make derivative works of any of our content or use any of our intellectual property rights in any way not expressly permitted by us. This means you are not allowed to use our logos, graphics, and trademarks (“brand marks”) or any other content on our platform unless we specifically say you are authorized to use them.


You own your logo, brand name, trademarks and other intellectual property (“customer IP”). We have a right to use your customer IP for the purposes of providing, administering and ensuring the proper operation of the services, the platform and related systems, and to perform our rights and obligations under these terms.

User generated content 

Any review, reply to a review, image or other content created by or originating from you, any consumer or other user of our services is what we call “user generated content”. Where user generated content is created by or originates from you, you allow us to use it and make it available forever without restriction or payment to you - and you also promise that you have the right to allow us to do that. Unless user generated content is removed by us for violating our guidelines, or removed by its author, all user generated content will remain publicly displayed on our services, our platform and any third-party services and networks (like Google) even after your subscription has ended or you delete your business account.


Privacy and data use

We may receive and process personal data relating to your consumers and your authorized users, which we cover below. Please also read our Privacy Policy, which provides more detail of how we handle personal data.

Privacy laws 

You and us each agree to comply with all applicable data protection and privacy laws and regulations (“applicable privacy laws”).

Invitation data

When you send invitations to your users asking them to create a review on our platform about your services, we are providing “review invitation services” to you. 


If the type of review invitation services we provide to you requires us to receive or process any personal data relating to those consumers (“invitation data”) before they submit a review on our platform in response to an invitation, then these review invitation services will be provided to you by Save Solis, Inc. (“Apollo”), and:


  • to the extent that we, as a service provider to you, receive data from you about your consumers who are residents of the United States and whose data is protected by the U.S. State data protection and privacy laws, the U.S. Privacy Laws Supplement (which is part of these terms); and

  • you shall not provide us with any PHI (as defined in the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”)) in connection with the provision of services under these terms, but to the extent that you are acting as a Covered Entity under HIPAA and there is incidental disclosure of PHI about your consumers to Apollo and to the extent that Apollo, as a result, is deemed under HIPAA to be acting as a Business Associate, the disclosure of such PHI will be governed by the HIPAA Business Associate Addendum which is part of these terms and will apply to you; and

  • you confirm that you will have all the rights, permissions and consents required by applicable privacy laws to provide us with the invitation data.


Other personal data

Personal data we collect about your authorized users or other people who represent you (including your employees) in connection with creating and administering your business account, providing customer services to you, or signing-up for our services and using them, will be handled by us in accordance with our Privacy Policy.


Security

Security is something we take seriously and you should too! You can read all about our practices in our Support Center. We do what we can to keep your data secure but we need your cooperation to protect our services and your data.


You have an important part to play by keeping your login details secure, not letting any other person use them, and by making sure you have strong security on your own systems. If you realize there’s been any unauthorized use of your password or any breach of security to your account or email address linked to your account, you need to let us know immediately. You also agree not to use free-form fields in any of Apollo’s systems or services to store personal data, (unless it’s a field explicitly asking for personal data - like a first name or last name).

Confidential information

We take reasonable precautions to protect your confidential information and expect that you’ll do the same for ours.


While using our services, you may share confidential information with us, and you may become aware of confidential information about us. 


You and we both agree to take reasonable steps to protect the other party’s confidential information from being accessed by unauthorized individuals, entities or other third-parties. You or we may share each other’s confidential information with legal, governmental or regulatory authorities if required to do so, or if required by law. 


We may also share your information on a similar confidential basis with our affiliates, our advisers, auditors and financiers, and any third parties carrying out due diligence on our business. 


Information will not be considered confidential if the recipient of the information already knew the information and it was not subject to confidential treatment, or the information is publicly available (but not as a result of a breach of this confidentiality section).
